Terms of Service
These Pilot Terms govern your use of HireDepth while the platform is in private Pilot. A full commercial Terms of Service will replace this document before any paid plan is offered generally.
1. Parties
These Terms are an agreement between IntegrAIted Solutions LLC, the operator of the HireDepth platform ("HireDepth," "we," or "us"), and the organization or individual accepting them ("you" or "Customer").
2. The Service
HireDepth is an integrated workforce platform combining applicant tracking, HR information systems, and a policy-grounded chatbot, delivered over the public internet at hiredepth.com. The platform is offered in private Pilot to a limited number of customers.
3. Acceptable Use
You agree not to:
- Attempt to access accounts, data, or systems belonging to others without authorization;
- Reverse engineer, decompile, scrape at scale, or otherwise attempt to derive the source code of the platform;
- Use the platform to store or transmit unlawful, infringing, harassing, or malicious content;
- Export bulk data about other users or organizations;
- Interfere with the proper operation of the platform, including by automated attacks, volumetric abuse, or probing of security controls;
- Use the platform to make employment decisions in a manner that violates applicable anti-discrimination law. Candidate match scores are decision-support, not decision-replacement.
4. Data Ownership
You own your data. All employee records, candidate applications, job postings, policy documents, and other content you create or upload belong to you. HireDepth processes that data on your behalf to operate the Service and only for that purpose. See the Privacy Policy for details of how personal data is handled.
5. Security
We maintain commercially reasonable security controls appropriate for a Pilot product, including encryption in transit (TLS), encryption at rest for the database and object storage, isolated staging environments, rate limiting, and bot protection. We commit to notifying you within 72 hours of discovering a security incident that materially affects your data.
6. Availability
The platform is provided as a Pilot. We do not offer a formal uptime SLA during the Pilot phase, and we may schedule maintenance windows with reasonable advance notice. We will make commercially reasonable efforts to keep the Service available and promptly restore any outage.
7. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HireDepth disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. Pilot customers are early participants and should expect that bugs, regressions, and feature changes will occur as we iterate.
8. Limitation of Liability
To the maximum extent permitted by law, HireDepth's aggregate liability under these Terms is limited to the greater of (a) the total fees paid to HireDepth by you in the twelve months preceding the claim, or (b) one hundred US dollars (US$100). HireDepth is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.
9. Termination
Either party may terminate the Pilot relationship at any time, with or without cause, by giving at least 14 days' written notice. On termination, you may export your data within a 30-day window after which we may delete it in accordance with our retention policy. Any obligations that by their nature survive termination (data ownership, limitation of liability, governing law) continue in effect.
10. Governing Law
These Terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms is subject to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah.
11. Changes to These Terms
We may update these Pilot Terms as the product evolves. Material changes will be announced to Pilot customers by email at least 7 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
